Effective: June 16, 2026 · Version 2.0
This is the agreement between a business or venue (a "Customer") and ENTRRO. ENTRRO is a brand owned and operated by Wyola LLC, a Wyoming limited liability company (registered office: 30 N Gould St, Ste R, Sheridan, WY 82801). By onboarding a venue or publishing a promotion, you accept these Terms.
1. The service
ENTRRO provides a marketplace where independent promoters drive verified customers to your venue against promotions you create. We provide the dashboard, scanner/door verification, attribution, billing, and promoter payouts.
2. What you pay
The Platform is free to join — no setup fee, subscription, or long-term contract. You pay only for validated redemptions. Your charge per validated redemption is the promoter payout you set plus the platform fee. The platform fee is all-in: payment processing, money movement, fraud cover, dashboards, and standard support.
3. Redemption & validation
- A guest presents a promoter's pass at your venue and your staff scan it.
- For promotions you mark validation-required, the redemption enters your Approvals queue. A manager validates that the qualifying transaction occurred (e.g., the bottle/drink was purchased) — at which point the promoter is credited and the redemption becomes billable.
- For promotions that don't require validation, the redemption is approved on scan.
- Declines (no qualifying transaction, fraud, or abuse) are not billed, no payout is made, and the promotion returns to your available pool.
- You retain full control of your door; staff decide on the night whether someone enters.
4. Budget & limits
You set limits by quantity or budget (two views of the same cap). Issuing a promotion reserves its cost against your budget so you can't over-issue; you are charged only on validation. Unredeemed, expired, or declined issues return to your available pool.
5. Billing
Charges are processed daily for validated redemptions, via Stripe (PCI-DSS Level 1; SOC 1/2 Type II). Card details are tokenized by Stripe; ENTRRO never sees or stores raw card numbers. You receive an itemized receipt per cycle.
6. Failed payments (LOCKED POLICY)
If a charge fails, then until you cure it: 1. Passes already issued to guests remain valid and are honored through their redemption window; 2. You cannot issue new promotions (new issuance is paused); and 3. Your promotions are hidden from promoters (removed from discovery/sharing). Once payment is resolved, issuance resumes and your promotions are restored. This Section supersedes any prior "two failed retries pauses briefs" wording.
7. Your venue, your rules; compliance
You set audience criteria, approve promotions before they go live, can block specific promoters, and control your door. You must hold the appropriate licenses and comply with all local laws. Alcohol & age-restricted goods: you are solely responsible for alcohol-beverage-control/liquor compliance and all age/ID verification at the point of service; ENTRRO promotions do not constitute the sale or service of alcohol. See the Acceptable Use Policy.
8. Refunds & disputes
See the Refund & Billing Policy. Disputed redemptions submitted within 7 days are reviewed within 5 business days; ENTRRO absorbs confirmed fraud, and you bear confirmed valid redemptions where scan/validation data confirms the qualifying transaction.
9. Data & reporting
You receive per-promoter performance, attribution per redemption, and aggregate audience signals. Guest personal data is handled per our Privacy Policy and DPA.
10. Termination & account closure
Either side can terminate any time. Validated redemptions through your last active promotion remain billable, and promoter earnings for validated guests already delivered are paid out regardless. Account closure is requested in-app; outstanding balances must be settled before closure completes, scanner devices are unpaired, and data is handled per the Privacy Policy.
11. Liability & governing law
ENTRRO's aggregate liability is limited to the platform fees you paid in the 12 months preceding the claim. The Platform is provided "as is." These Terms are governed by the laws of the State of Wyoming, USA; disputes resolved by binding arbitration in Sheridan County, Wyoming, class actions waived.
