Effective: June 16, 2026 · Version 2.0

This Promoter Agreement ("Agreement") is between you ("Promoter," "you") and Wyola LLC d/b/a ENTRRO ("ENTRRO," "we," "us"). By creating a promoter account or sharing a promotion, you accept this Agreement, the Terms of Service, the Acceptable Use Policy, and the Code of Conduct.

1. Independent contractor

You are an independent contractor. Nothing here creates an employment, partnership, agency, or joint-venture relationship with ENTRRO or with any venue. You control how, when, and whether you share promotions; you are responsible for your own taxes and for any business licenses your activity requires.

2. Eligibility

You must be 18 or older, legally able to receive payments in your country, and not on any sanctions list. You must complete identity verification and payout onboarding through Stripe Express before you can share and earn. Sharing and earning are locked until registration (profile + Stripe Express) is complete.

3. How you earn

  • You earn the set amount per validated guest — the amount shown on each promotion, for each guest the venue validates. You are not paid per share or per click.
  • A redemption becomes Pending when the venue validates the qualifying transaction (manager-validated where required), and moves to Available once the venue has settled with ENTRRO.
  • ENTRRO shows you only your net payout. The fee the venue pays on top is between ENTRRO and the venue.
  • Attribution: each share generates a unique tracked pass/QR. Credit for a validated guest goes to the promoter whose pass the guest actually presents and redeems. One redemption credits exactly one promoter.

4. Payouts

  • Payouts are automatic. Available funds are disbursed to your connected Stripe Express account on Stripe's standard payout schedule — there is no minimum balance and no manual "withdraw" step.
  • An optional Instant Payout may be offered (a Stripe fee applies) to speed up a disbursement.
  • Arrival to your bank follows Stripe's and your bank's standard processing times.
  • Tax forms (e.g., 1099) are issued via Stripe where required.

(This Section supersedes any prior reference to a "$10 minimum" or "withdraw on demand.")

5. Disputes & adjustments

Disputed or fraudulent entries (no-show, fraud, abuse) are reviewed by ENTRRO Trust & Safety, typically within 5 business days, and paid or reversed accordingly. ENTRRO may withhold or reverse earnings tied to fraud, fake guests, or policy violations.

6. Your conduct & content

You are responsible for the links and content you share. You must not: use bots or fake accounts, pad guest counts, mislead guests, spam, share promotions unlawfully, or promote venues with which you have an undisclosed conflict. You must comply with all local laws on marketing alcohol, events, and venues. Some promotions carry an age requirement (e.g., 21+) enforced by the venue at the door. Violations result in suspension and forfeit of pending earnings tied to the violation. See the Acceptable Use Policy and Code of Conduct.

7. License

You grant ENTRRO a limited, non-exclusive license to use the content and links you generate on the platform solely to operate the Services and attribute your guests. ENTRRO retains all rights in the platform; you receive no rights except as stated.

8. Termination

You may close your account at any time, in-app or by request. We may suspend or terminate your account for breach. Earnings you've already validly earned for validated guests survive termination and are paid out per Section 4, subject to fraud review and settlement.

9. Disclaimers & liability

The platform is provided "as is." ENTRRO does not promise specific earnings, guest volume, or venue performance. To the maximum extent permitted by law, ENTRRO's aggregate liability to you is limited to the amounts paid or payable to you in the 12 months preceding the claim.

10. Governing law & disputes

This Agreement is governed by the laws of the State of Wyoming, USA. Disputes are resolved by binding arbitration in Sheridan County, Wyoming under the American Arbitration Association (AAA) rules; class and representative actions are waived. Either party may seek injunctive relief for IP or confidentiality matters.

11. Changes

We may update this Agreement. Material changes will be notified (email/in-app) at least 30 days before they take effect; continued use after that constitutes acceptance.
